EvalMetric provides an AI-powered applicant tracking and recruitment management platform (the "Service"). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for safeguarding your account credentials and for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

• Subscription Plans: The Service is billed in advance on a recurring and periodic basis (monthly or annually).
• Renewal: Your subscription will automatically renew unless cancelled at least 24 hours before the end of the current period.
• Refunds: All fees are non-refundable unless required by law. We may grant refunds at our sole discretion.

5. Acceptable Use

• You agree not to misuse the Service or assist anyone else in doing so.
• You must not probe, scan, or test the vulnerability of our systems or breach any security measures.
• You must not use the Service for any illegal purpose or to transmit malicious code.

6. Customer Data and IP

You retain all rights to the data and files you upload to the Service ("Customer Data"). You grant EvalMetric a worldwide license to host, copy, transmit, and display your Customer Data as necessary to provide the Service to you.

7. AI Disclaimer

Our Service uses Artificial Intelligence (AI) to analyze data. You acknowledge that AI outputs are probabilistic and may contain errors. You are solely responsible for verifying any AI-generated insights before making employment decisions.

8. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated herein by reference. /privacy

9. Third-Party Services

The Service may integrate with third-party applications (e.g., LinkedIn, Gmail). Your use of such services is governed by their respective terms and policies.

10. Availability and SLA

• We will use commercially reasonable efforts to make the Service available 24x7, excluding planned downtime.
• We do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

11. Termination

• You may terminate your account at any time via the dashboard settings.
• We may suspend or terminate your access immediately if you violate these Terms.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVALMETRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless EvalMetric and its officers from any claims arising out of your use of the Service or violation of these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
